Welcome to Shep AI Solutions. These Terms of Service (“Terms”) govern your access to and use of our services, including our websites, lead follow-up and review systems, CRM, advertising, AI-powered tools, and related offerings (“Services”). By using our Services, you agree to these Terms. If you do not agree, you may not use the Services.

  2. 2.Eligibility

    • You must be at least 18 years old to use our Services.
    • Our Services are available to businesses in Australia.
    • Services may be used for both business and personal purposes.

  3. 3.Services Provided

    We provide websites and AI-powered SaaS solutions including:

    • Website design and build, with hosting, security, updates and small edits on a monthly plan.
    • Missed call text-back and online enquiry follow-up.
    • CRM and pipeline management.
    • Review and reminder automation.
    • Old lead and SMS lead regeneration.
    • Google and Meta advertising.
    • Virtual receptionists and chatbots.
    • Other AI-driven automation services.

    Our Services are not professional advice (e.g., medical, legal, financial) and should not be relied upon as such.

  4. 4.Payment Terms

    • Websites are built at no cost. Hosting and maintenance are billed on a monthly plan.
    • Other Services are offered on a subscription basis (monthly), with a one-off setup fee where applicable, and options for free trials and demos.
    • We confirm all fees in writing before any work starts.
    • Automatic billing occurs at the beginning of each billing cycle.
    • There is no lock-in contract. You may cancel any plan at any time, and it will not renew at the next billing cycle.
    • Fees already paid for the current billing cycle and setup fees are not refunded, except where required by law, including under the Australian Consumer Law.
    • You are responsible for ensuring timely payment; failed payments may result in suspension or termination of Services.

  5. 5.User Responsibilities

    You agree to:

    • Use our Services only for lawful purposes.
    • Not misuse AI for harmful, deceptive, or illegal content.
    • Not spam, scrape, or reverse engineer our Services.
    • Not infringe on third-party intellectual property rights.
    • Be responsible for any content you provide when using the Services.
    • Have consent, as required by the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth), to contact every person whose details you provide to us, including contact lists for lead regeneration and any lists sourced from third parties.
    • Be responsible for, and indemnify Shep AI Solutions against, any claims, complaints or penalties arising from contact details you provide or messages sent to them on your instructions.

    We include an opt-out in every message we send on your behalf and stop messaging anyone who opts out. We do not verify the source of contact lists you provide.

  6. 6.Company Rights

    We reserve the right to:

    • Suspend or terminate accounts that violate these Terms or for non-payment.
    • Modify or discontinue any part of the Services, temporarily or permanently, with or without notice.

  7. 7.Intellectual Property

    • Agency Content: All software, branding, AI models, and underlying technology remain the exclusive property of Shep AI Solutions.
    • Websites: The websites we build, including their design, code and the content we write, remain the property of Shep AI Solutions. You are granted the use of your website while your monthly plan is active.
    • Domains: We register your domain in your business name, using your ABN, and manage it on your behalf while your monthly plan is active.
    • Client Content: You retain ownership of the content and materials you upload or provide, such as your logo, photos and business details.
    • AI Outputs: You are granted a license to use AI-generated outputs for lawful purposes. Outputs may not be used in ways that violate these Terms or applicable laws.

  8. 8.Disclaimers & Limitation of Liability

    • AI outputs may contain inaccuracies or errors. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
    • Our Services are provided “as is” without warranties of any kind.
    • To the fullest extent permitted by law, Shep AI Solutions will not be liable for indirect, incidental, or consequential damages.
    • Our total liability will not exceed the amount you paid us in the 12 months prior to the claim.

  9. 9.Termination

    • User-Initiated: You may cancel your account at any time. Your Services continue until the end of the billing cycle you have paid for.
    • Company-Initiated: We may suspend or terminate your account at any time, including for violations of these Terms or non-payment.
    • Upon termination, your right to use the Services will immediately end, and your website will be taken offline.
    • If you cancel, we will hand over control of your domain, including the transfer code, so you keep your web address and can point it to a new website.

  10. 10.Governing Law & Dispute Resolution

    These Terms are governed by the laws of Victoria, Australia.

    Any disputes will be resolved in the courts of Victoria, unless otherwise required by law.

  11. 11.Changes to These Terms

    We may update these Terms from time to time. Any changes will be posted on our website, and continued use of the Services constitutes acceptance of the updated Terms.
